Please read these Terms of Service carefully before using GoalLens. By accessing or using the GoalLens platform, you agree to be bound by these terms. If you do not agree, do not use GoalLens.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and GoalLens ("GoalLens," "we," "us," or "our") governing your access to and use of the GoalLens platform, including any associated websites, APIs, applications, and services (collectively, the "Service").

By signing in, accepting an invitation, or otherwise accessing the Service, you confirm that you have the authority to bind your organization to these Terms and that you agree to comply with them.

2. Service Description

GoalLens is an Outcome Intelligence platform that connects Objectives, Desired Outcomes, Key Results, KPIs, and execution evidence to help leaders understand whether outcomes are being achieved, where alignment gaps exist, and what actions to take next.

GoalLens allows organizations to:

  • Create workspaces scoped to strategic initiatives or review cycles
  • Define Objectives, Desired Outcomes, Key Results, and KPIs
  • Upload and connect execution evidence from files and integrated sources
  • Run AI-assisted analysis to generate alignment insights, risk signals, and recommendations
  • Export executive-ready outcome reports

3. Account Access and Eligibility

GoalLens operates on an invite-only, organization-first access model. Access to the Service requires an active invitation from a GoalLens organization administrator, or a direct commercial agreement with GoalLens.

  • You must be at least 18 years old and authorized to act on behalf of your organization.
  • Access is granted at the organization level. GoalLens controls who may access the platform and may decline or revoke access at its discretion.
  • Each user account is personal and non-transferable. You are responsible for maintaining the security of your credentials.
  • You must notify GoalLens immediately of any unauthorized access to your account.

4. User and Organization Responsibilities

You agree that you and your organization will:

  • Provide accurate information when setting up workspaces, goals, and KPIs.
  • Use the Service only for lawful purposes and in accordance with these Terms.
  • Not upload content that violates applicable laws, infringes third-party rights, or contains malware.
  • Not attempt to gain unauthorized access to any part of the Service or another user's data.
  • Not reverse engineer, scrape, or attempt to extract data or models from the Service.
  • Maintain appropriate internal controls over who in your organization has access to GoalLens workspaces.

5. Acceptable Use

You may not use the Service to:

  • Violate any applicable law or regulation.
  • Interfere with or disrupt the integrity, performance, or security of the Service.
  • Attempt to probe, scan, or test the vulnerability of the Service.
  • Transmit viruses, malware, or other harmful code.
  • Upload regulated personal data — including health, financial, or government-issued identification data — without a separate written data processing agreement with GoalLens.
  • Resell, sublicense, or otherwise provide access to the Service to unauthorized third parties.

GoalLens reserves the right to suspend or terminate access for any violation of this section without prior notice.

6. Data and AI Usage

GoalLens processes uploaded source files to extract relevant goal, KPI, risk, evidence, and execution signals. Evidence signals are scored and filtered before analysis. The AI model receives structured excerpts, summaries, metadata, and scored evidence signals needed to generate the analysis. GoalLens does not intentionally send raw uploaded files, credentials, or secrets to AI providers.

You retain ownership of all data, content, and files you upload to GoalLens. By uploading content, you grant GoalLens a limited license to process that content solely to provide the Service to you.

GoalLens uses third-party AI providers to generate analysis and recommendations. AI-generated outputs are suggestions and should not be relied upon as professional, financial, legal, or medical advice. You are responsible for reviewing and validating any AI-generated content before acting on it.

Users should not upload regulated or highly sensitive personal data — including HIPAA-covered health information, payment card data, or government-issued identification numbers — unless covered by a separate written agreement with GoalLens.

7. Commercial Terms

Access to GoalLens for your organization is governed by the commercial agreement between your organization and GoalLens, which may take the form of a signed contract, a purchase order, or an invoice accepted by both parties.

  • Fees are as agreed in the applicable commercial arrangement.
  • Unless otherwise agreed, fees are due within 30 days of invoice.
  • GoalLens may suspend access for overdue payments after reasonable notice.
  • Self-serve subscription billing, if offered in the future, will be governed by additional billing terms presented at the time of purchase.

8. Suspension and Termination

GoalLens may suspend or terminate your access to the Service:

  • If you violate these Terms or any applicable law.
  • If payment obligations are not met after notice.
  • If GoalLens reasonably believes your use poses a risk to the Service, other users, or third parties.
  • Upon mutual agreement or at the end of a contract term.

You may terminate your use of the Service at any time by contacting GoalLens. Upon termination, your access will be revoked and your data will be subject to the retention and deletion terms described in our Privacy Policy.

Archived workspaces are retained for 30 days after archiving and then permanently deleted. Termination of your account will trigger the applicable retention and purge process for your organization's workspaces.

9. Intellectual Property

GoalLens and its licensors own all right, title, and interest in and to the Service, including all software, models, interfaces, designs, and documentation. Nothing in these Terms transfers any intellectual property rights to you.

You retain full ownership of your data and content. GoalLens does not claim ownership over your Objectives, Key Results, KPIs, evidence files, or analysis results.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind. To the fullest extent permitted by applicable law, GoalLens disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated content.

GoalLens does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated analysis may contain inaccuracies and should be reviewed before use.

11. Limitation of Liability

To the fullest extent permitted by law, GoalLens shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption, arising out of or related to your use of the Service, even if GoalLens has been advised of the possibility of such damages.

GoalLens' total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the fees paid by your organization to GoalLens in the 12 months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.

The specific state and venue for dispute resolution will be identified in your commercial agreement with GoalLens, or if no agreement specifies this, will be determined by GoalLens at the time of the dispute.

13. Changes to These Terms

GoalLens may update these Terms from time to time. When we do, we will update the effective date at the top of this page. Material changes will be communicated to active users via email or an in-product notice. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
